Compensation & Benefits Atty: Private Equity 5+ yr

About the role

We are seeking an Associate with 5+ years of experience advising on executive compensation and employee benefits matters, with a focus on representing private equity sponsors in acquisitions, divestitures, and day-to-day portfolio company matters. Key areas include grants of profits interests and other LLC incentive awards, management holdco vehicles, rollover equity, and employment and severance arrangements.

Experience with mergers and acquisitions involving other privately held companies, and IRC Sections 280G and 409A is also required.

Requirements

• 5+ years of experience in executive compensation and employee benefits
• Experience representing private equity sponsors in acquisitions, divestitures, and portfolio company matters
• Expertise in LLC incentive awards, management holdco vehicles, rollover equity, and employment/severance arrangements
• Experience with mergers and acquisitions involving privately held companies
• Knowledge of IRC Sections 280G and 409A
• Excellent academic credentials
• Superior writing, oral communication, and analytical skills

Pay

Expected annual pay range for this position is $365,000+, with the final offer amount dependent on geographic location, applicable experience, and skillset.
