Paralegal, Securities and Corporate Governance
Responsibilities
- Aid in setting up and maintaining the board and committee meeting schedules.
- Handle the administrative tasks related to the company's insider trading policy, including the creation and updating of the trading window calendar and organizing preclearance process documents.
- Schedule compliance training sessions and keep related records updated.
- Assist in preparing SEC filings such as 10-Q, 10-K, Section 16, and Rule 144 filings, and facilitate the associated disclosure control processes.
- Prepare and distribute Director & Officer Questionnaires annually, ensuring that all necessary information is completed and clarified in a timely manner.
- Manage deadlines related to controlled company status, such as audit committee independence time limits.
- Coordinate and support the annual general meeting of stockholders, interacting with both internal team members and external partners as required.
- Compile quarterly internal updates for the legal team and prepare dashboard slides for the board and committees.
- Assist in assembling and distributing board and committee meeting materials, including agendas, meeting books, resolutions, and minutes of prior meetings.
- Support the drafting of reports and presentations for board committees and executive leaders.
- Help maintain the company's electronic board portal, Diligent, which includes meeting minute books, resolutions, and resource materials.
- Support internal audit activities, such as records management and training.
- Conduct research on corporate governance trends and best practices.
- May also support the maintenance of additional databases, such as the stock ledger and equity management.
- Gather and track due diligence information as needed for mergers and acquisitions (M&A) transactions or financings.
- Support subsidiary business entity documentation and compliance matters.
- Assist with special projects or other department tasks as requested.
Qualifications
- Bachelor’s degree
- At least 5 years of corporate or securities paralegal experience, preferably including managing proxy seasons.
- Strong knowledge of SEC reporting requirements and corporate governance practices.
- Experience with board management portals and equity administration platforms is a plus.
