About the role

We are seeking a Paralegal experienced in Securities and Corporate Governance matters to support our securities and corporate governance functions, working with Brands and Group Functions team members in New York, Chicago, Helsinki, and other global locations. You will report to our Securities and Corporate Governance Counsel.

Responsibilities

  • Assist in managing the administrative aspects of the company’s insider trading policy, including maintaining and updating window lists, electronically distributing trading notices, and supporting the trade preclearance process
  • Track, prepare, and file Section 16 reports via Workiva and assist in the preparation of other SEC filings (e.g., proxy statements, 20-Fs, and 6-Ks) and associated disclosure control processes
  • Prepare and distribute Director & Officer Questionnaires annually (and more frequently as needed), ensuring individuals complete and clarify information in a timely manner
  • Coordinate, manage, and support the company’s virtual annual general meeting of stockholders, interacting with internal team members as well as external counsel and partners (such as the company’s transfer agent, Broadridge, DTC, the NYSE, etc.)
  • Compile quarterly internal global litigation updates for the legal and finance teams and prepare dashboard slides for the Audit Committee
  • Gather and track due diligence information as needed for transactions and/or internal projects
  • Support the overall maintenance of the company’s electronic Board portal on BoardVantage
  • Assist in drafting reports and presentations for the Audit Committee and executive leaders
  • Support special projects or tasks related to securities and corporate governance, legal, ethics, and/or compliance matters
  • Aid in coordination and planning of team meetings
  • Assist the legal and compliance teams with the company’s contract management system, invoice coding, and similar tasks
  • Further the overall activities of the Legal Department, including department initiatives and projects
  • Provide additional support for Amer Sports securities and corporate governance functions and matters

Requirements

  • 4+ years of experience in a law firm or corporate in-house department
  • Bachelor’s degree (additional experience may be considered in lieu of a degree)
  • Excellent drafting and analytical skills, with the ability to comprehend legal concepts associated with corporate governance and compliance
  • Strong project management skills with the ability to adapt to changing priorities while meeting deadlines
  • Strong attention to detail, well-organized, with the ability to plan and prioritize multiple competing tasks
  • Ability to take ownership and responsibility, working independently and striving for excellence
  • Excellent verbal and written communication skills; ability to work effectively across a global, matrix environment
  • Proficient in Microsoft Office Suite
  • Experience with Section 16 reports, Workiva, and BoardVantage
  • Ability to maintain confidentiality with sensitive issues
  • Must be able to provide support in the ET time zone and be available for occasional meetings with team members in other time zones

Preferred Qualifications

  • Licensed notary
  • Experience with US-listed companies, as well as companies with a global presence
  • Paralegal certificate

Pay

A reasonable estimate of the annual pay range is $90,000 - $120,000 at the time of this posting. Within the range, individual pay is determined by factors such as job-related skills, relevant experience, education, geographic location, and/or training. This range reflects base pay only and does not include our competitive bonus program.

Schedule

This role will work a flexible hybrid model based in our New York Office, located in the Flatiron District.
