About the Role

A global law firm with a focus on innovation is seeking a Paralegal with a focus on Corporate Transactions and Technology Companies to join the team. This position is hybrid and based in Midtown Manhattan.

Who You Are

• Have a Bachelor's degree and 5+ years of paralegal experience, focused on corporate transactions and Blue Sky compliance
• Experienced in supporting technology companies
• Strong legal writing, editing, and proofreading abilities
• Highly organized; able to manage multiple priorities and meet deadlines consistently
• Skilled at analyzing legal information and translating it into actionable documentation

What You'll Do

• Draft, review, and revise corporate documents and contracts, ensuring accuracy and consistency
• Maintain and update corporate and stock records, keeping filings current and compliant
• Prepare and manage entity formation documents across jurisdictions
• Assist with SEC, Blue Sky, and UCC filings, ensuring all submissions meet regulatory standards
• Conduct legal research and support analysis for corporate matters
• Collaborate with internal teams to support transaction-related projects and legal initiatives

• Corporate and stock records are accurate, complete, and up to date
• Legal documents and filings are error-free and submitted on schedule
• Entity formations and compliance filings are executed smoothly and efficiently
• Research and analysis provide clear guidance to support transactions and business decisions
• Internal stakeholders rely on timely, well-prepared support for corporate matters

Pay

$125,000 – $175,000 annually, based on experience
