SCOPE OF RESPONSIBILITIES

  • Aid in the preparation and drafting of merger or purchase agreements and related ancillary agreements.
  • Create and conduct research related to transactions and filings, such as UCC searches.
  • Manage virtual data rooms.
  • Analyze and organize records and documents.
  • Prepare withdrawal and qualification documents in compliance with all applicable laws and regulations.
  • Oversee the preparation of electronic closing sets and binders and other post-closing deliverables.
  • Distribute these documents to appropriate parties.
  • Draft shareholder and board consents.
  • Formulate organizational, incorporation, and formation documents such as Articles of Organization, Operating Agreements, Consents, and qualification documents.
  • Conduct name availability searches and reserve entity names, if required.
  • Prepare SS-4 forms and apply for Employer Identification Numbers.
  • Draft subscription agreements, stock certificates, stock powers, and related documents.
  • Utilize SimplyAgree and DocuSign regularly in this role.

ESSENTIAL JOB FUNCTIONS

  • Show significant client management experience.
  • Exercise significant independent judgment and discretion in managing client team activities.
  • Use independent judgment in the efficient and cost-effective use of practice support, databases, and other technology.
  • Show initiative to stay informed of developments in the paralegal industry and share such information informally or in the context of firm-sponsored CLEs and other in-house training efforts.
  • Show familiarity and experience with adopting legal AI and demonstrate the ability to learn and implement new AI.

MINIMUM REQUIREMENTS

  • Minimum of 5 years relevant experience, with a significant focus on M&A transactions.
  • A bachelor's degree or a paralegal certificate preferred.
  • Substantive legal-related experience may be considered in lieu of formal education at the discretion of the SBU Managing Director.
