SCOPE OF RESPONSIBILITIES
- Aid in the preparation and drafting of merger or purchase agreements and related ancillary agreements.
- Create and conduct research related to transactions and filings, such as UCC searches.
- Manage virtual data rooms.
- Analyze and organize records and documents.
- Prepare withdrawal and qualification documents in compliance with all applicable laws and regulations.
- Oversee the preparation of electronic closing sets and binders and other post-closing deliverables.
- Distribute these documents to appropriate parties.
- Draft shareholder and board consents.
- Formulate organizational, incorporation, and formation documents such as Articles of Organization, Operating Agreements, Consents, and qualification documents.
- Conduct name availability searches and reserve entity names, if required.
- Prepare SS-4 forms and apply for Employer Identification Numbers.
- Draft subscription agreements, stock certificates, stock powers, and related documents.
- Utilize SimplyAgree and DocuSign regularly in this role.
ESSENTIAL JOB FUNCTIONS
- Show significant client management experience.
- Exercise significant independent judgment and discretion in managing client team activities.
- Use independent judgment in the efficient and cost-effective use of practice support, databases, and other technology.
- Show initiative to stay informed of developments in the paralegal industry and share such information informally or in the context of firm-sponsored CLEs and other in-house training efforts.
- Show familiarity and experience with adopting legal AI and demonstrate the ability to learn and implement new AI.
MINIMUM REQUIREMENTS
- Minimum of 5 years relevant experience, with a significant focus on M&A transactions.
- A bachelor's degree or a paralegal certificate preferred.
- Substantive legal-related experience may be considered in lieu of formal education at the discretion of the SBU Managing Director.
