SCOPE OF RESPONSIBILITIES
- Aid in the preparation and drafting of merger or purchase agreements and related ancillary agreements.
- Create and conduct research related to transactions and filings, such as UCC searches.
- Manage virtual data rooms.
- Analyze and organize records and documents.
- Prepare withdrawal and qualification documents according to all applicable laws and regulations.
- Prepare and distribute closing sets and binders, and other post-closing deliverables.
- Draft shareholder and board consents.
- Form entities, draft organizational, incorporation, and formation documents, including Articles of Organization, Operating Agreements, Consents, and qualification documents.
- Conduct name availability searches and reserve entity names, if required.
- Draft subscription agreements, stock certificates, stock powers, and related documents.
- File SS-4 forms and apply for Employer Identification Numbers.
- Coordinate projects with various service companies, using SimplyAgree and DocuSign.
ESSENTIAL JOB FUNCTIONS
- Manage client team activities with significant independence and discretion.
- Employ independent judgment in the efficient and cost-effective use of practice support, databases, and other technology.
- Show initiative to stay informed of developments in the paralegal industry and share such information through informal means or firm-sponsored CLEs and other in-house training efforts.
- Show familiarity and experience with adopting legal AI and demonstrate the ability to learn and implement new AI technologies.
- Meet billable hour requirement of 1500 hours per year.
MINIMUM REQUIREMENTS
- Minimum of 5 years relevant experience, with a significant focus on M&A transactions.
- A bachelor's degree or a paralegal certificate preferred.
- Substantive legal-related experience may be considered in lieu of formal education at the discretion of the SBU Managing Director.

PAY AND BENEFITS
Compensation is commensurate with skill and experience, ranging from $75,000 to $138,000 annually depending on location and other factors. Benefits include medical and dental coverage, life insurance, short-term and long-term disability insurance, a flexible spending account, an employee assistance program, paid time off, paid holidays, and participation in a retirement plan program after meeting eligibility requirements. The firm also offers a discretionary bonus, which is non-guaranteed and dependent on individual and firm performance.
