Scope of Responsibilities

  • Aid in the preparation and drafting of merger or purchase agreements and related ancillary agreements.
  • Create and conduct research related to transactions and filings, such as UCC searches.
  • Manage virtual data rooms.
  • Analyze and organize records and documents.
  • Prepare withdrawal and qualification documents according to all applicable laws and regulations.
  • Oversee the preparation of electronic closing sets and binders, and distribute them to appropriate parties.
  • Draft shareholder and board consents.
  • Formulate organizational, incorporation, and formation documents like Articles of Organization, Operating Agreements, Consents, and qualification documents.
  • Conduct name availability searches and reserve entity names, if needed.
  • Prepare SS-4 forms and apply for Employer Identification Numbers.
  • Draft subscription agreements, stock certificates, stock powers, and related documents.
  • Coordinate projects with various service companies, using SimplyAgree and DocuSign.

Essential Job Functions

  • Significant client management experience.
  • Exercise significant independent judgment and discretion in managing client team activities.
  • Show initiative to stay informed of developments in the paralegal industry and share such information.
  • Familiarity and experience with adopting legal AI.
  • Meet billable hour requirement of 1500 hours per year.

Minimum Requirements

  • Minimum of 5 years relevant experience, with a significant focus on M&A transactions.
  • Associate’s degree required; Bachelor’s degree or Paralegal Certificate preferred.
  • Substantive legal-related experience may be considered in lieu of formal education at the discretion of the SBU Managing Director.

  • Ability to independently handle all key duties without supervision of another Paralegal or Senior Paralegal.

Compensation and Benefits

Employees are entitled to compensation commensurate with skill and experience. The exact compensation will vary based on skills, experience, location, and other factors permitted by law. The expected compensation ranges for this position are as follows:

  • State of Colorado: $75,000 - $119,000
  • State of Illinois: $64,000 - $125,000
  • State of Maryland: $73,000 - $107,000
  • Massachusetts: $85,000 - $130,000
  • State of Minnesota: $75,000 - $111,000
  • Jersey City, NJ: $78,000 - $114,000
  • State of New York: $66,000 - $125,000
  • State of Washington: $88,000 - $134,000
  • Washington, DC: $94,000 - $138,000

The above salary does not include a discretionary bonus, however bonus opportunities are non-guaranteed, and are dependent upon individual and firm performance.
