SCOPE OF RESPONSIBILITIES
- Aid in the preparation and drafting of merger or purchase agreements and related ancillary agreements.
- Create and conduct research related to transactions and filings, such as UCC searches.
- Manage virtual data rooms.
- Analyze and organize records and documents.
- Prepare withdrawal and qualification documents in compliance with all laws and regulations.
- Oversee the preparation of electronic closing sets and binders, and distribute to relevant parties.
- Draft shareholder and board consents.
- Formulate organizational, incorporation, and formation documents like Articles of Organization, Operating Agreements, and Consents.
- Conduct name availability searches and reserve entity names, if needed.
- Prepare SS-4 forms and apply for Employer Identification Numbers.
- Draft subscription agreements, stock certificates, stock powers, and related documents.
- Coordinate projects with various service companies, using SimplyAgree and DocuSign.
ESSENTIAL JOB FUNCTIONS
- Significant client management experience.
- Exercise significant independent judgment and discretion in managing client team activities.
- Use independent judgment in the efficient and cost-effective use of practice support, databases, and other technology.
- Show initiative to stay informed of developments in the paralegal industry and share such information.
- Familiarity and experience with adopting legal AI and ability to learn and implement new AI.
MINIMUM REQUIREMENTS
- Minimum of 5 years relevant experience, with a significant focus on M&A transactions.
- Associate’s degree required; Bachelor’s degree or Paralegal Certificate preferred.
- Substantive legal-related experience may be considered in lieu of formal education at the discretion of the SBU Managing Director.
