Paralegal
Job Overview
Protara is seeking a highly organized and detail-oriented Paralegal to support the Legal & Compliance function focused on developing innovative therapies for patients with non-muscle invasive bladder cancer (NMIBC) and rare diseases. This role will provide broad legal and administrative support across contracting, commercial, clinical, regulatory, intellectual property, corporate governance, and compliance activities. The ideal candidate will thrive in a fast-paced, highly regulated environment and have experience supporting legal operations within the life sciences, pharmaceutical, or biotechnology industries. This person must be able to come into the NYC office twice a week.
Essential Duties and Responsibilities
- Assist with the preparation, review, tracking, and administration of a wide variety of agreements, including: Confidentiality and non-disclosure agreements (NDAs), Clinical trial agreements, Vendor and consulting agreements, Master service agreements (MSAs), Research collaboration agreements, Licensing and manufacturing agreements, Sponsorship and grant agreements.
- Manage contract lifecycle processes, including intake, execution, filing, renewals, and reporting.
- Maintain contract management systems and legal databases to ensure accurate records and accessibility.
- Coverage of contract signatures through Docusign.
- Coordinate corporate governance activities, including managing corporate entity management, maintaining corporate records, minute books, resolutions, and governance documentation.
- Prepare materials for board meetings and committee meetings as requested.
- Serve as a trusted resource for business stakeholders seeking guidance on legal processes and documentation.
- Support annual filings and corporate compliance requirements.
