About the role
The Paralegal will work with various databases, implement and oversee corporate and franchise processes, prepare form documents and agreements, track contracts and documents, assist with corporate acquisitions, liaise with internal and external stakeholders, and provide general support to the legal team.
Responsibilities
- Assist with all aspects of the franchise lifecycle:
- Prepare, distribute, and oversee the execution and processing of franchise agreements, development agreements, transfer agreements, and renewal agreements.
- Collect required documentation for franchise applications, perform credit and background checks, and review financial documentation to ensure all minimum requirements have been satisfied.
- Collect business entity documentation, purchase agreements, certificates of insurance, leases, and other documentation from franchisees.
- Coordinate with internal and external stakeholders regarding the status of franchise sales, transfers, and renewals.
- Support the preparation and filing of the company’s annual Franchise Disclosure Document, including coordinating with internal departments, state franchise regulatory authorities, and outside counsel regarding franchise registrations and updates.
- Complete the intake of new claims and litigation, and provide support in connection with active litigation.
- Assist with all aspects of corporate acquisitions:
- Collect, review, and organize due diligence materials, and provide support with the preparation and filing of various entity formation documents, business licenses and registrations, and other documentation.
- Prepare, distribute, and oversee the execution and processing of transaction documents, including purchase agreements, bills of sale, disclosure schedules, and lease assignments.
- Coordinate with internal and external stakeholders regarding the status of corporate acquisitions and closing logistics.
- Support the legal team’s use of AI-powered tools by organizing content, managing knowledge resources, monitoring workflows, and identifying opportunities to improve productivity and standardization.
- Assist with contract approval and management processes and procedures, including database management and contract preparation.
- Assist with corporate filings, annual reports, maintenance of business licenses and registrations, and corporate processes and procedures (document retention, delegation of authority, etc.).
- Draft and maintain form agreements and boilerplate provisions.
- Analyze and summarize contractual terms within franchise agreements, and compile pertinent information about franchise agreements.
- Prepare correspondence on behalf of the legal department to assist with franchise development, operations, and litigation matters.
- Facilitate improvements to existing franchise processes and procedures.
- Interact with outside counsel, as needed.
- Provide updates to internal teams regarding the status of agreements.
- Perform other related duties assigned from time to time.

- Proficient in Adobe, DocuSign, Microsoft Word, Excel, PowerPoint, and SharePoint, and franchise and contract management systems.
Qualifications
- Bachelor of Science/Arts is preferred.
- Minimum of two (2) years of experience providing administrative or operational support to attorneys, preferably in a law firm or in-house legal department.
- Franchise experience is strongly preferred, but not required.
- Paralegal experience is helpful, but not required.
- Prior experience drafting form agreements, contracts, and other legal documents is strongly preferred, but not required.
