Mid-Level Capital Markets/M&A Associate

About the role

Holland & Knight is seeking a mid-level capital markets/M&A associate to join its Corporate M&A and Securities Practice.

Responsibilities

• Represent issuers in public and private offerings of debt and equity securities
• Interface with the SEC and other regulators
• Counsel public companies on disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters
• Prepare Exchange Act filings, such as Forms 10-K, 10-Q, 8-K and proxy statements
• Additional experience with public and private company M&A is a strong plus

Requirements

• 3 to 5 years of experience
• JD from an ABA Accredited Law School
• Must be licensed or ready to become licensed the state of Texas
• This candidate must reside in the Houston area at or prior to the time of hire
• We believe that there is significant value in working together in person and will expect the candidate to work in the office at least three business days per week

Qualifications

Excellent academic credentials are required, and large regional, national or international law firm experience is preferred.

Skills

Strong interpersonal and communication skills, a high degree of maturity and business sense, and the ability to effectively manage internal and external client relationships.
