Mergers & Acquisitions/Securities Attorney
Key Responsibilities
- Support mergers, acquisitions, divestitures, and joint ventures.
- Draft and negotiate transaction documents (NDAs, LOIs, purchase agreements).
- Lead or support legal due diligence and prepare risk summaries.
- Identify and escalate legal risks and provide mitigation strategies.
- Collaborate with Legal, Finance, Tax, and external counsel.
Additional Responsibilities (Preferred)
- Review real estate-related agreements (leases, title matters).
- Absess property-related risks in transaction portfolios.
Qualifications
- JD and active bar admission.
- 10+ years of M&A or general deal experience.
- Strong due diligence and deal execution experience.
- Excellent drafting, negotiation, and analytical skills.

- Detail-oriented with strong document review capability.
- Ability to operate independently in high-paced environments.
