Role Description

This is a full-time, on-site Counsel, Mergers & Acquisitions role located in Boston, Massachusetts (with some travel to NYC). The Counsel will guide various stages of mergers and acquisitions, ensuring compliance and minimizing legal risks. Key responsibilities include:

  • Conducting due diligence
  • Drafting and negotiating transaction documents
  • Oversight of deal structuring
  • Advising on regulatory matters
  • Collaborating with cross-functional teams

The Counsel will also play a pivotal role in aligning legal strategies with business objectives and managing external legal counsel when necessary.

Pay

  • Base Pay Range: $125K to $175K
  • Annual Bonus Potential: up to 20% of Base Pay
  • Profit sharing potential after 1 Year.

Requirements

  • Expertise in Mergers and Acquisitions, including conducting due diligence, deal structuring, and document preparation
  • Strong contract drafting, negotiation, and review skills
  • Experience in regulatory compliance in health care a plus, corporate governance, and legal risk assessment
  • Proficiency in strategic legal planning and advising on transactional matters
  • Licensed attorney with a Juris Doctor degree from an accredited law school and active bar membership
  • 5+ years of experience in a corporate legal role, preferably within the healthcare industry or private equity sector
  • Effective communication, organizational, and analytical problem-solving skills
  • Ability to collaborate with cross-functional teams and adapt in a fast-paced environment
