About the Role
Armstrong Teasdale LLP is seeking a mid- to senior-level Lateral Associate with broad-based experience in corporate, mergers and acquisitions, and finance matters to join its Corporate Services Group (CSG) in our Chicago or St. Louis office. The ideal candidate will work in a friendly, cooperative, and team-oriented environment, learning from and collaborating with energetic, highly experienced legal practitioners.
Responsibilities
- Manage the high-level and strategic aspects of multiple legal matters at different stages of progression, while also handling day-to-day transactional tasks from inception to conclusion.
- Leverage up-to-date technology resources and tools to support a sophisticated transactional practice and communicate with clients, colleagues, and third parties.
- Demonstrate strong attention to detail and interpersonal skills for effective communication with attorneys and clients.
- Support multiple partners and client relationships, as well as manage and train junior associates in a dynamic transactional practice.
- Work independently and productively, with a strong interest in advancing a career in Corporate Services.
- Focus on excellent client service while producing high-quality legal work and meeting minimum billable hour requirements.
- Manage client relationships and generate business through group and individual efforts.
- Comply with the highest ethical standards of the legal profession.
- Actively utilize and help train support staff or junior associates to ensure client satisfaction.
Requirements
- Juris Doctor (JD) degree.
- Licensed to practice law in good standing in Missouri; must maintain applicable license renewal and CLE requirements.
- 4+ years of relevant experience at a law firm working on M&A, Private Equity, Corporate Finance, and other sophisticated transactional work.
- Substantial experience managing M&A, Private Equity, and Corporate Finance transaction structures and processes across multiple industries, in both buy-side and sell-side transactions involving public, private, strategic, and financial parties.
- Experience managing due diligence processes and reviews.
- Proficiency in drafting, reviewing, and negotiating corporate and transaction documents such as corporate documents, capital structures, purchase and merger agreements, offering documents, governance documents, and financing agreements.
- Experience supporting private equity sponsors and portfolio companies throughout their investment lifecycle.
- Experience working with companies through all phases of their businesses, from entity formation and corporate structuring to ongoing operational compliance.
Preferred Qualifications
- Experience with commercial contracts, technology contracts, real estate and lending matters, transactional tax basics, international clients, and cross-border transactions.
Additional Details
- Indirect supervisory responsibilities, including training support staff or junior associates.
- Prolonged periods of sitting (or use of a standing desk) and computer work required.
- Travel required is less than 10%.
Pay
Chicago range: $225,000–$285,000 (ranges are fluid depending on experience, areas of expertise, and licenses).
