M&A Corporate Attorney (Remote)

Remote contract role supporting a global financial-services client on M&A and securities matters.

Responsibilities

• Draft and review merger and acquisition agreements, disclosure documents, and proxy statements.
• Ensure compliance with SEC regulations, including SEC filings such as Forms S-1, S-3, 8-K, and 10-K.
• Advise on corporate governance matters, including board and shareholder meeting documentation.
• Conduct due diligence for M&A transactions and securities offerings.
• Liaise with external counsel, investment banks, and regulatory bodies as needed.

Requirements

• Licensed attorney in good standing with experience in securities law.
• Minimum 5 years of experience in M&A and corporate law, with SEC filing expertise.
• Strong drafting and negotiation skills for transactional documents.
• In-depth knowledge of corporate governance best practices and compliance.
• Ability to manage multiple deadlines and high-pressure transactional environments.
