Role Overview
We are hiring for one of our clients, seeking a M&A Attorney to work on a contract basis. The role involves supporting mergers, acquisitions, and corporate transactions with legal oversight.
Responsibilities
- Draft, review, and negotiate key transaction agreements, including purchase agreements, shareholder agreements, and ancillary documents.
- Conduct legal due diligence on target companies, identifying risks and liabilities in corporate records and contracts.
- Advise on corporate governance matters related to M&A activities, ensuring alignment with regulatory requirements.
- Collaborate with cross-functional teams to structure and execute transactions efficiently.
- Provide legal guidance on deal structuring, tax implications, and post-closing integration.
Required Skills & Qualifications
- Licensed attorney in good standing with experience in M&A transactions.
- Experience drafting and negotiating transaction documents under U.S. or relevant jurisdiction law.
- Knowledge of corporate law, securities regulations, and compliance requirements.
- Strong analytical and problem-solving skills to assess legal risks and propose solutions.
- Ability to manage multiple priorities in a fast-paced, deadline-driven environment.
