Litigation Senior Attorney - M&A
About the role
DLA Piper is seeking a Senior Attorney to join our Litigation group, Business and Commercial subgroup. This position is open to our Atlanta, Baltimore, Boston, DC, Miami, New York, Philadelphia, Raleigh, Short Hills, and Wilmington offices.
Responsibilities
- Negotiates and drafts property management and development agreements.
- Negotiates complex LLC operating agreements or limited partnership agreements.
- Performs a variety of due diligence activities to include conducting title and survey reviews, reviewing easements, REAs, CCRs, leases and financial documents.
- Reviews entity documents for authority matters.
- Assumes responsibility for title and survey due diligence review.
- Leads multi-property due diligence.
- Drafts and negotiates confidentiality/access agreements.
- Drafts brokerage agreements as well as purchase & sale agreements for seller.
- Drafts and negotiates closing documents such as escrow letter, deed, assignment, and bill of sale.
- Prepares closing documents such as escrow letters, mortgage/deed of trust, leasing brokerage agreements, office and retail leases, etc.
- Negotiates senior secured loan documents, mezzanine load documents and construction load documents.
- Drafts zoning opinion for proposed developments.
- Performs regulatory analysis for existing development.
- Drafts LLC operating agreements or limited partnership agreements.
- Negotiates credit enhancements such as guaranties and letters of credit.
- Provides leadership to and manages a team of business professionals to include coaching, mentoring and professional development.
- Provides performance feedback on a regular basis.
Requirements
Minimum of 6 years’ experience in M&A post-closing indemnity disputes and/or representations and warranty insurance disputes. Experience with M&A transaction documentation and damages calculations.

Pay
The firm’s expected hiring range for this position is $275,000 - $425,000 per year depending on the candidate’s geographic market location. The compensation offered for employment will also be dependent on other factors including the candidate’s experience, skills, educational and professional background, and overall qualifications.
Schedule
This role is hybrid - regular in-office presence with some flexibility for work-from-home.
