Position Summary
As the first legal hire at Logos Space, you will bridge the gap between ambitious aerospace innovation and sound, forward-thinking legal strategy. You will wear many hats, serving as the foundational pillar for all things legal while acting as a strategic business partner. Your Legal function is directly responsible for safeguarding and accelerating our network deployment through complex transactional drafting, sophisticated corporate structuring, and navigating advanced regulatory landscapes.

Key Responsibilities
- Deal Structuring & Advanced Negotiations: Partner closely with the VP of Corporate Development & Operations and Head of Business Development to structure, draft, and close complex commercial transactions, strategic partnerships, anchor customer agreements, and vendor/supplier contracts. Given our dual-use focus, familiarity with USG procurement and government contracting frameworks is a major plus as we secure key commercial and public sector deals.
- Fundraising & Corporate Financing Strategy: Partner with the CEO, VP of Corporate Development & Operations, and executive leadership to prepare for and structure large-scale institutional fundraising rounds (Series A/B/C) and strategic corporate financing. You will manage the internal legal due diligence process and coordinate closely with our expert outside counsel to review term sheets, definitive investor agreements, and ensure smooth execution.
- Build the Legal Infrastructure: Architect Logos Space’s legal foundation from scratch. Establish standard templates, NDA processes, contract management workflows, and corporate policies that enable the company to move fast without compromising security.
- Corporate Governance & Strategy: Support the leadership team on corporate matters, including board governance, compliance, equity administration, and strategic corporate development.
- Dual-Use & Regulatory Oversight: Work collaboratively with external counsel to monitor and navigate aerospace regulations, FCC/ITU spectrum compliance, international data privacy, and government contracting requirements (NDAs, security clearances, or dual-use considerations as applicable).
- Cross-Functional Advisory: Act as a trusted advisor to engineering, product, and operations teams, providing pragmatic, solutions-oriented advice on risk mitigation, intellectual property protection, and business scalability.
Basic Qualifications
- Education: Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with the California State Bar (or eligible to register as In-House Counsel).
- Experience: 8-10+ years of legal experience, ideally combining foundational training at a top-tier law firm with in-house experience at a high-growth technology, aerospace, or defense startup.
- Transactional & Financing Expertise: Proven track record of independently leading, drafting, and negotiating highly complex commercial transactions or technology agreements, as well as hands-on experience managing and executing large-scale institutional fundraising rounds (venture capital or strategic corporate financing).
- Mindset: An entrepreneurial, "builder" mentality. You are comfortable being a department of one, managing a high volume of diverse requests, and prioritizing ruthlessly.
Preferred Qualifications
- Experience handling growth-stage corporate financing (Series A through C+) or complex project financing for infrastructure/aerospace.
- Experience in the aerospace, satellite communications (SatCom), telecommunications, or defense-tech sectors.
- Familiarity with government procurement, defense contracting (FAR/DFARS), or dealing with dual-use technology regulatory frameworks (ITAR/EAR).
- Experience handling intellectual property portfolios (patents, trade secrets) in hardware- or network-heavy environments.
