Legal Counsel

Responsibilities

• Draft, review, and negotiate a wide range of commercial agreements, including SaaS, vendor, partnership, and non-disclosure agreements.
• Advise on corporate legal matters, including board governance, equity matters, and future fundraising rounds.
• Develop and manage the company’s IP strategy, including trademarks, patents, and copyright, to protect our core technology and assets.
• Ensure compliance with global data privacy laws (e.g., GDPR, CCPA) and other regulations relevant to the MedTech and SaaS industries.
• Identify and mitigate legal risks across the organization, providing proactive counsel to leadership and cross-functional teams.
• Build and maintain scalable legal processes, including contract management systems, to improve efficiency and support business growth.
• Manage relationships with and serve as the primary point of contact for outside legal counsel on specialized matters.

Requirements & Skills

• Juris Doctor (JD) degree and an active member of the Massachusetts bar.
• 5+ years of relevant legal experience, with a preference for in-house experience at a high-growth SaaS, MedTech, or Life Science company.
• A strong working knowledge of legal issues specific to the SaaS business model, including licensing, data security, and service level agreements.
• Familiarity with FDA regulations, HIPAA, and other compliance frameworks relevant to medical devices and life sciences.
• The ability to be a "department of one" and handle a wide variety of legal challenges with autonomy and sound judgment.
• A trusted partner to all levels of the organization, capable of translating complex legal issues into clear, actionable business advice.
