Law Firm Contracts Manager

Responsibilities
- Review, draft, redline, negotiate, and finalize engagement letters, outside counsel agreements, and related legal services contracts.
- Serve as the primary point of contact for contract negotiations with external law firms and internal legal stakeholders.
- Interpret legal and business risks and make attorney-level recommendations regarding contract language, rate proposals, and negotiation strategies.
- Apply established contract guidelines while exercising independent legal judgment on deviations and escalations.
- Partner directly with client attorneys, legal operations professionals, procurement, and law firms throughout the contracting lifecycle.
- Utilize CLM technology and workflow tools, including Malbek or comparable platforms, to manage contracts and approvals.
- Identify recurring negotiation issues and develop playbooks, fallback positions, templates, and standard operating procedures.
- Support rate negotiation, law firm onboarding, vendor governance, and related outside counsel management initiatives.
- Drive process improvements, automation opportunities, reporting, and metrics associated with outside counsel contracting.
- Maintain strong documentation, audit readiness, and compliance with company policies.
- Provide support for conflicts of interest review, analysis, and resolution in coordination with internal stakeholders and outside counsel.
Requirements
- JD and active bar membership preferred.
- 5+ years of experience negotiating contracts and legal services agreements.
- Experience with law firms, legal operations, or corporate legal departments.
- Demonstrated ability to independently lead negotiations.
- Experience with CLM platforms and workflow tools.
- Strong communication and stakeholder-management skills.
Preferred Qualifications
- Experience supporting large corporate legal departments.
- Outside counsel management experience.
- Experience applying AI-enabled tools to legal operations, contract review, workflow optimization, or outside counsel management.
- Playbook and governance framework development experience.
