• Responsibilities:
  • Providing legal advice and guidance on a range of corporate governance issues, ensuring our clients' compliance with all relevant laws and regulations.
  • Assisting in the formation and structuring of corporate entities, including advising on the most appropriate entity type and jurisdiction for each client's specific needs.
  • Handling all aspects of asset and stock sales, including drafting and reviewing purchase agreements, conducting due diligence, and negotiating terms.
  • Overseeing corporate/entity transactions, such as mergers, acquisitions, and joint ventures, ensuring all legal requirements are met and risks are appropriately managed.
  • Advising on securities law matters, including compliance with federal and state securities regulations, public and private offerings, and shareholder rights issues.
  • Representing our clients in shareholder disputes and litigation, including drafting pleadings, conducting discovery, and advocating for our clients in court.
  • Staying up-to-date with changes in corporate and securities law, and advising clients on how these changes may impact their businesses.
• Qualifications:
  • A Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Alabama (AL) state bar.
  • Experience as a corporate attorney, with a focus on corporate governance, entity formation, asset and stock sales, corporate/entity transactions, and securities law.
  • Strong analytical and problem-solving skills, with the ability to provide practical legal advice that aligns with our clients' business objectives.
  • Exceptional negotiation skills, with a proven track record of successfully closing complex transactions.
  • Excellent communication and interpersonal skills, with the ability to build strong relationships with clients and team members.
  • A portable book of business with a minimum of $100,000.
