Junior Associate

About the role

Robert Half is partnering with a respected full-service law firm to identify a Junior Corporate Associate to join its growing Corporate Practice Group. This is an excellent opportunity for a recent law school graduate or early-career attorney with prior corporate transactional experience who is looking to build a sophisticated transactional practice alongside experienced dealmaker. The firm's corporate team is one of its largest practice groups, consisting of 15 partners, associates, counsel, and dedicated paralegal support. The group primarily focuses on private equity transactions while also advising clients on a wide range of corporate matters.

Location, Compensation & Schedule

• Location: Manhattan, New York
• Work Arrangement: Hybrid, approximately 3 days per week in-office
• Schedule: Standard hours are 9:30 a.m. to 5:30 p.m.; in-office days are generally determined by the deal team and practice group
• Pay: $80-$100/hour

Responsibilities

• Assist attorneys with corporate transactions from inception through closing
• Support M&A, growth equity, venture financing, fund formation, credit, and securities matters
• Conduct due diligence reviews and summarize findings
• Coordinate transaction closings and closing deliverables
• Draft and review certificates, disclosure schedules, board consents, and ancillary transaction documents
• Organize transaction documents, trackers, and closing checklists
• Provide day-to-day support to deal teams throughout the transaction lifecycle

Qualifications

• J.D. from an accredited law school
• Open to candidates who have graduated law school but are not yet licensed/barred
• 1-3 years of corporate transactional experience, including relevant internship, clerkship, or law firm experience
• Exposure to corporate transactions, including M&A, growth equity, venture financing, fund formation, credit, and/or securities matters
• Due diligence experience preferred
• Strong drafting, organizational, and analytical skills
• Ability to work effectively in a fast-paced deal environment
• Law firm corporate transactional experience preferred
