The Role

  • Supporting healthcare mergers and acquisitions, including transaction execution, due diligence, regulatory review, and related transaction workstreams.
  • Advising on healthcare contracting and regulatory matters involving pharmacy benefit managers, managed care organizations, providers, pharmacies, and healthcare services companies.
  • Drafting, reviewing, and negotiating transaction documents, commercial agreements, regulatory analyses, and client memoranda.
  • Managing process-driven workstreams independently while coordinating effectively with senior attorneys and cross-functional teams.
  • Identifying and analyzing healthcare regulatory issues affecting clients and providing practical, commercially focused solutions.
  • Working directly with clients on recurring transactional, regulatory, and contracting matters.
  • Collaborating across practice areas and offices to deliver seamless, high-quality client service.
  • Developing institutional knowledge and serving as a key point of continuity on long-term client engagements.

The Candidate

  • A minimum of three years of relevant healthcare law experience, with a focus on healthcare M&A, regulatory counseling, contracting, or a combination of these areas.
  • Experience supporting transactional matters, including due diligence, document review, drafting principal and ancillary transaction documents, and regulatory issue spotting.
  • Experience drafting, reviewing, and negotiating healthcare industry agreements, including provider, pharmacy, managed care, PBM, vendor, service, or other commercial contracts.
  • Familiarity with healthcare regulatory frameworks impacting healthcare services businesses and regulated industry participants.
  • A Juris Doctor (JD) or LLM from an ABA-accredited law school.
  • Previous experience working in a law firm is essential.
  • Admission to, or eligibility for admission in, Washington, DC, New York, or California.
  • Strong written and verbal communication skills, sound judgment, exceptional attention to detail, and the ability to manage competing priorities effectively.
  • A collaborative mindset and the ability to thrive in fast-paced, team-oriented environments.
