Key Responsibilities

  • Manage the preparation, review, and submission of annual reports in partnership with CSC and internal stakeholders, ensuring accuracy and timeliness.
  • Execute ad hoc state filings, including new entity qualifications and other jurisdictional requirements.
  • Prepare and process event-driven documentation (e.g., officer/manager appointments and resignations, dividend declarations), including related filings.
  • Maintain and update corporate records to ensure completeness, accuracy, and audit readiness.
  • Oversee the lifecycle of DBA registrations, including new registrations, renewals, and terminations.
  • Monitor Corporate Tracking Service notifications from CSC and determine required actions to maintain entity good standing.
  • Serve as a primary point of contact for internal inquiries related to U.S. entities, including requests for corporate documents, officer/director information, and entity data.
  • Partner with internal teams, external vendors (CSC), and Secretary of State offices to resolve issues and ensure compliance.
  • Prepare and submit PACA license renewals, including updates as needed, through the USDA ePACA portal.

Qualifications

  • Minimum of 3 years of experience in a corporate, legal, or law firm environment supporting entity management or corporate governance.
  • Experience managing multi-state filings and corporate compliance activities preferred.
  • Bachelor’s degree preferred.
  • Paralegal certification from an ABA-accredited program preferred.
  • Current notary commission (Texas) preferred.
