Key Responsibilities
- Manage the preparation, review, and submission of annual reports in partnership with CSC and internal stakeholders, ensuring accuracy and timeliness.
- Execute ad hoc state filings, including new entity qualifications and other jurisdictional requirements.
- Prepare and process event-driven documentation (e.g., officer/manager appointments and resignations, dividend declarations), including related filings.
- Maintain and update corporate records to ensure completeness, accuracy, and audit readiness.
- Oversee the lifecycle of DBA registrations, including new registrations, renewals, and terminations.
- Monitor Corporate Tracking Service notifications from CSC and determine required actions to maintain entity good standing.
- Serve as a primary point of contact for internal inquiries related to U.S. entities, including requests for corporate documents, officer/director information, and entity data.
- Partner with internal teams, external vendors (CSC), and Secretary of State offices to resolve issues and ensure compliance.
- Prepare and submit PACA license renewals, including updates as needed, through the USDA ePACA portal.
Qualifications
- Minimum of 3 years of experience in a corporate, legal, or law firm environment supporting entity management or corporate governance.
- Experience managing multi-state filings and corporate compliance activities preferred.
- Bachelor’s degree preferred.
- Paralegal certification from an ABA-accredited program preferred.
- Current notary commission (Texas) preferred.
