About the role

The Director, Legal Counsel – DAFgiving360 will manage legal matters, corporate governance, and regulatory compliance for DAFgiving360. This role will oversee contract management, charity due diligence, and grant agreement work, and will lead the organization through regulatory changes.

Responsibilities

  • Monitor and advise on changing rules, regulations, and the regulatory environment.
  • Ensure the Compliance Plan complies with rules and regulations and supports the business.
  • Recommend appropriate revisions to policies, procedures, and systems to reduce future legal and compliance concerns.
  • Prepare and review legal documents and agreements, including vendor management and grant agreements.
  • Provide regulatory and legal advice on federal and state rules and regulations, and engage outside and Schwab legal counsel as needed.
  • Oversee corporate governance for DAFgiving360, including compliance with board and committee charters, conflict of interest policy, and supporting board and committee meetings.
  • Manage legal inquiries or litigation as needed.
  • Support the Risk team to ensure operational escalations or accommodations are compliant with law and/or policy.
  • Oversee the whistleblower policy/procedures.
  • Communicate legal matters to the audit committee and President.
  • Advises the President on potential risks related to legal and corporate compliance.

Requirements

  • Law degree required.
  • 10-15+ years of related work experience in legal, regulatory, and/or compliance with significant management experience.
  • Deep knowledge of non-profit regulations and donor-advised fund experience a plus.
  • Deep knowledge of the legal, compliance, and regulatory aspects of the financial services industry, including registered investment advisors and risk management concepts.
  • Demonstrated leadership skills - sets and shares goals with elevated expectations, motivates performance, leads by example.
  • Aptitude to successfully manage complex projects, maintain accurate records, track decisions, and move projects forward proactively and independently.

Qualifications

  • Ability to be a trusted partner providing practical, consistent, effective, and unbiased risk and compliance management and guidance grounded in business goals and risks, and the regulatory and industry environment.
  • Skill to develop actionable proposals and recommendations to senior management and the board in both written and verbal forms and drive implementation of key legal risk and compliance initiatives.
  • Ability to work across multiple organizations to drive change and buy-in by working with and influencing key business partners and building effective working relationships.
  • Self-motivated, with strong attention to detail and ability to work independently and drive change.
  • Excellent interpersonal, written, and verbal communication skills; demonstrated presentation skills.
  • Mastery of Microsoft Office tools (PowerPoint, Excel, Word).
