The Role
- Advising on leveraged finance, private credit, infrastructure finance, hybrid capital, fund finance, corporate lending, and syndicated facilities transactions.
- Representing borrowers, lenders, sponsors, funds, and direct lenders in acquisition financings, refinancings, liability management transactions, and other sophisticated financing arrangements.
- Assisting with the structuring, negotiation, and execution of complex domestic and cross-border financing transactions.
- Advising on financings backed by complex asset and infrastructure portfolios.
- Drafting, reviewing, and negotiating financing documentation and ancillary transaction documents.
- Working on both lender-side and borrower-side mandates, providing commercially focused and pragmatic legal advice.
- Collaborating closely with colleagues across multiple offices and practice groups to deliver seamless client service on multifaceted transactions.
The Candidate
- A minimum of three years of relevant debt finance experience gained within a sophisticated legal practice.
- Experience advising on complex financing transactions, including leveraged finance, acquisition financings, refinancings, and other secured lending matters.
- Experience with sponsor-side representation is strongly preferred.
- A Juris Doctor (JD) from an accredited law school.
- Previous experience working in a law firm is essential.
- Admission to, or eligibility to waive into, the New York Bar.
- Strong academic credentials and exceptional analytical, drafting, and negotiation skills.
- A genuine interest in debt finance and the ability to thrive in a fast-paced, entrepreneurial, and team-oriented environment.
- The ability to manage multiple complex matters while exercising sound commercial judgment and maintaining exceptional attention to detail.
