Cross Border M&A Associate
About The Practice
Holland & Knight's Corporate, M&A and Securities attorneys advise clients on sophisticated transactions across industries and jurisdictions. The Cross-Border M&A team works with companies, investors, private equity sponsors, family offices, entrepreneurs, and other clients on complex transactions involving the US, Latin America, and international markets. The practice combines transactional experience with cross-border market knowledge to help clients structure, negotiate, and complete strategic transactions.
Responsibilities
- Advise clients on domestic and international mergers and acquisitions, joint ventures, minority investments, and other strategic transactions.
- Draft, review, and negotiate purchase agreements, investment agreements, joint venture agreements, governance documents, ancillary transaction documents, and related corporate materials.
- Support transaction structuring and execution for clients operating across the US, Latin America, and other international markets.
- Conduct and coordinate legal due diligence, including review of corporate, commercial, governance, and transaction-related materials.
- Work collaboratively with cross-practice and cross-border deal teams, including lawyers in corporate, tax, finance, regulatory, employment, and other practice areas.
- Advise on corporate governance, entity formation, ownership, control, and post-closing integration matters.
- Communicate effectively with clients, counterparties, local counsel, and internal deal teams.
Requirements
- Juris Doctor degree from an accredited law school.
- Must be licensed in the jurisdiction of hiring office.
- Must reside in the designated jurisdiction at or prior to the time of hire.
- Work in the office at least three business days per week.
- Meaningful experience in mergers and acquisitions, private equity, joint ventures, minority investments, corporate governance, or other complex corporate transactions.
- Strong drafting, negotiation, analytical, and project management skills.
- Ability to manage multiple workstreams and meet deadlines in a fast-paced transactional environment.
- Excellent judgment, attention to detail, and written and verbal communication skills.
- Fluency in Spanish is required.
Qualifications
- Minimum of 3 years' experience in M&A.
- Experience advising public and private companies, private equity sponsors, family offices, strategic investors, entrepreneurs, and other market participants on complex business transactions.
- Relevant experience may include domestic and cross-border mergers and acquisitions, joint ventures, minority investments, strategic partnerships, corporate governance matters, and other complex corporate transactions.
- Experience with cross-border transactions, particularly involving the US and Latin America, is preferred but not required.
Pay
In accordance with Pay Transparency Laws, the pay range for this position in New York is $260,000 - $365,000/yr. This range is specific to this location and may not be applicable to other locations. An individual's actual compensation will depend on the individual's qualifications and experience.
