Accountabilities
- Draft, review, and negotiate transaction documents, including Stock Purchase Agreements, Asset Purchase Agreements, Letters of Intent, confidentiality agreements, disclosure schedules, and ancillary agreements.
- Conduct legal due diligence and identify potential legal, regulatory, and commercial risks related to acquisitions and divestitures.
- Support all phases of private M&A transactions, including transaction structuring, preparation, negotiation, and closing activities.
- Analyze deal terms and recommend practical, business-focused solutions to address legal and commercial considerations.
- Collaborate with internal stakeholders, clients, and external legal counsel to coordinate transaction execution.
- Manage multiple concurrent M&A matters while maintaining accuracy, quality, and responsiveness under tight deadlines.
- Provide legal support for mergers, acquisitions, divestitures, restructurings, and related corporate transactions.
- Communicate effectively with senior stakeholders to support decision-making and transaction progress.
Requirements
- J.D. or equivalent law degree and active license to practice law in at least one U.S. jurisdiction.
- Approximately 5+ years of experience supporting private company M&A transactions.
- Demonstrated expertise drafting and negotiating Stock Purchase Agreements (SPAs) and Asset Purchase Agreements (APAs).
- Strong understanding of corporate law principles, transaction structures, and M&A processes.
- Experience handling mergers, acquisitions, divestitures, restructurings, and related corporate matters.
- Excellent legal drafting, negotiation, analytical, and communication skills.
- Ability to identify risks, evaluate complex issues, and develop practical recommendations.
- Strong organizational skills with the ability to manage multiple transactions and priorities.
- Ability to work independently while effectively communicating with senior business leaders and external stakeholders.
