About the Team
You'll be joining the Carta Law team, specifically within the Contracts team - Americas function. This team manages the full lifecycle of commercial contracts for clients—from first review through to execution. You'll serve as the direct day-to-day contact for sophisticated investment fund and asset manager clients, working alongside fellow lawyers and paralegals. The team delivers high volumes of pre-M&A contract work at speed, supported by AI-backed tools including Carta's proprietary platform, Ava.
Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts—including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters—directly liaising with counterparties and adhering to agreed turnaround times.
- Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers.
- Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations.
- Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture.
- Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools.
Requirements
- Commercially minded and client-focused, with the ability to communicate legal advice crisply and concisely while building strong relationships with sophisticated financial services clients.
- 6-8+ years of post law school corporate or transactional experience, with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
- Experience working with asset managers, investment banks, or other financial services firms, with an understanding of their expectations.
- Licensed to practice law in the Americas (US/Canada).
- Tech-savvy and adaptable, comfortable working with and evolving a legal technology suite (e.g., AI tools, HighQ). An interest in legal tech or AI is a strong plus.
- A self-starter who thrives in a fast-paced environment, prioritizes effectively, and seeks ways to improve and innovate.

Pay
Expected cash compensation (salary + commission if applicable) range for this role:
- $149,600 - $187,000 in Denver, CO
- $167,200 - $209,000 in Seattle
Final offers may vary based on geography, experience, expertise, and other factors. This is a full-time role.
