We are a sophisticated mid-sized law firm seeking a Corporate Transactional Paralegal to join our Corporate Group in Chicago. This full-time, hybrid role supports attorneys representing clients from entrepreneurial and middle-market companies to large national and global organizations, offering exposure to diverse business, finance, and real estate transactions in a collaborative, fast-paced environment.

Responsibilities

  • Support business, finance, and real estate transactions of all types
  • Prepare and manage transaction checklists
  • Prepare and file UCC Financing Statements
  • Draft and file entity formation and corporate governance documents
  • Prepare and file IRS documents
  • Organize and maintain corporate entity records and minute books
  • Oversee the preparation of electronic closing binders and transaction documentation
  • Utilize the firm's docketing system to track matters and deadlines
  • Prepare and file Form D and Blue Sky filings
  • Communicate regularly with clients, opposing counsel, lenders, title companies, and other third parties throughout transactions

Requirements

  • Bachelor's Degree or Paralegal Certificate
  • 5-7 years of relevant corporate transactional and finance experience (less experience may be considered for otherwise qualified candidates)
  • Experience supporting mergers and acquisitions, finance transactions, and corporate governance matters
  • Experience preparing and filing corporate entity documents and related filings
  • Experience preparing and organizing closing documents and binders
  • Strong technical proficiency and attention to detail
  • Excellent written and verbal communication skills
  • Strong organizational and time-management skills with the ability to manage multiple priorities
  • Demonstrated commitment to providing exceptional client service
  • Ability to work occasional overtime as needed

Schedule

  • Hybrid schedule, typically in the office one day per week (more for junior candidates during training)
  • 35-hour work week with overtime eligibility
  • 1,300 billable hour requirement

Pay

$110,000–$125,000, depending on experience.
