About the role

The attorney will review and analyze private M&A transaction documents, due diligence materials, and related deal documentation to identify legal and transactional risks. The role also involves collaborating with subject matter experts, advising on insurance coverage issues, and building relationships with insurance underwriters, brokers, and transaction stakeholders throughout the deal process.

Responsibilities

  • Review and analyze private M&A transaction documents, due diligence materials, and related deal documentation to identify legal and transactional risks.
  • Collaborate with subject matter experts, advise on insurance coverage issues, and build relationships with insurance underwriters, brokers, and transaction stakeholders throughout the deal process.
  • Demonstrate exceptional analytical and critical thinking skills, strong written and verbal communication abilities, excellent organization, and the ability to thrive in a fast-paced, deadline-driven transactional environment.

Requirements

  • A J.D. from an ABA-accredited law school.
  • A minimum of 4 years of corporate, M&A, or other transactional legal experience.
  • Admission to the New York Bar or eligibility to become licensed in New York.
  • Ability to work in a hybrid environment, with at least three days per week in the office.
  • Residence in or willingness to relocate to the New York City area prior to hire.

Qualifications

  • Strong understanding of the M&A transaction lifecycle and transactional risk, including representations and warranties, indemnification issues, purchase price adjustments, litigation exposure, and damages analysis.
  • Experience negotiating or procuring representations and warranties insurance is highly desirable but not required.

Benefits

Competitive compensation package commensurate with experience, including eligibility for a discretionary bonus.

Pay

$250,000.00 - $400,000.00

Schedule

Hybrid work schedule with at least three days per week in the office.
