Position Summary
The firm is seeking a motivated Associate Attorney with at least two years of experience to join its Corporate & Business Services practice. The ideal candidate will have experience handling corporate matters, commercial lending transactions, and general business counseling. Exposure to banking, lending, and economic development financing transactions is preferred.
Responsibilities
- Draft, review, and negotiate a variety of corporate and commercial agreements.
- Advise clients on corporate governance and general business matters.
- Represent lenders and borrowers in commercial financing and lending transactions.
- Aid with loan documentation, due diligence, and transaction closings.
- Support economic development and related financing transactions.
- Conduct legal research and prepare memoranda on corporate and transactional issues.
- Collaborate with senior attorneys and clients to develop practical legal solutions.
- Build and maintain strong client relationships while supporting business development initiatives.
Requirements
- J.D. from an accredited law school.
- Admission to practice law in the applicable jurisdiction.
- At least 5 years of experience in corporate and transactional legal work.
- Background in banking and commercial lending matters is strongly preferred.
- Familiarity with economic development financing is advantageous.
- Understanding of real estate principles is helpful, although this role is not centered on real estate transactions.
- Strong drafting, negotiation, analytical, and verbal and written communication abilities.
- Ability to manage multiple active matters effectively in a fast-paced legal environment.
