Corporate Paralegal/Risk Analyst

Responsibilities
- Maintain and file corporate records, including resolutions, board of director changes, minutes, and other filings
- Contractual and Legal Review: Manage insurance and payment and performance bond requirements, ensuring contract language protects the company.
- Monitoring and Reporting: Develop and monitor compliance with risk transfer and mitigation strategies, and report to stakeholders.
- Claim Management: Handle intake of claims and incidents including contract and insurance policy review and recommendations.
- Clock and Reporting: Coordinate and receive board and committee signatures for documents and materials.
- Create documents related to new corporate entity formations
- Produce documents related to the development and implementation of corporate policies and templates
- Contract Support: Provide contract support for operational agreements for design and construction, standard corporate agreements, such as non-disclosure, marketing, and independent contractor agreements.
- Administrative Support: Provide administrative support for documents and activities related to corporate structure and transactions
- Special Projects: Work with other members of the legal team on special projects and initiatives
Qualifications
- Associates degree required; Bachelor’s degree preferred
- Minimum of two years of experience, preferably with knowledge of engineering and construction industry
- Paralegal certification preferred
- Ability to analyze financial data, insurance policies and contract documents
- Experience with managing and assisting with engineering and construction disputes and litigation
