Corporate Paralegal
Key Responsibilities
- Assist in the commercial and industrial (C&I) loan closing process from loan approval through document execution.
- Prepare and review commercial loan documentation in accordance with approved credit structures.
- Review borrower entity formation and organizational documents.
- Distribute loan documents to borrowers through DocuSign and manage the execution process.
- Communicate with borrowers regarding document completion and address questions throughout the closing process.
- Partner with Relationship Managers, Portfolio Managers, Loan Operations, Underwriting, and legal counsel to ensure timely closings.
- Maintain accurate and up-to-date loan information within the loan origination system.
- Conduct final reviews of legal files and executed loan documents using established closing checklists.
- Prepare files and funding information for boarding by the Loan Servicing team.
- Prepare and file UCC financing statements.
- Upload final executed loan documents to internal systems and shared drives.
- Manage post-closing exceptions and ensure documentation deficiencies are resolved promptly.
Qualifications
- Paralegal Certificate preferred but not required.
- Experience with loan documentation, legal document preparation, contract administration, or commercial loan closings.
- Strong understanding of document review and execution processes.
- Proficiency with Microsoft Office Suite.
- Experience with DocuSign is preferred but not required.
- Excellent organizational skills and strong attention to detail.
- Strong written and verbal communication skills.
- Ability to identify issues, solve problems, and manage multiple priorities.
- Ability to work independently and collaboratively in a team environment.
