Responsibilities
- Assist with the preparation and execution of M&A and financing transactions, including reviewing and summarizing due diligence materials, drafting and assembling transaction documents, and coordinating closings
- Assist with private equity transactions, including fund formations and subscription agreements
- Conduct, analyze, and summarize UCC and other lien searches
- Prepare and file UCCs (initial and amendatory filings)
- Absorb, form, and register entities, including corporations, LLCs, and partnerships, throughout the United States
- Prepare and file SEC Form D and attend to corresponding state blue-sky compliance
- Perform other duties as assigned
Requirements
- Bachelor's degree preferred
- 5+ years of experience as a corporate paralegal, with a focus on M&A, financing, and/or private equity transactions, as well as corporate governance and entity formation
- Working knowledge of corporate formalities and entity management across jurisdictions
- Strong legal drafting skills
- Ability to manage multiple assignments and deadlines in a fast-paced environment, escalating issues as appropriate
- Excellent organizational, communication, and interpersonal skills
- High attention to detail and commitment to accuracy
Benefits
- Target salary range: $120,000 - $140,000 based on a 37.5 hour work week
- Hours worked over 40 hours in any week are paid at time and a half
- Salary determinations are based on numerous factors, such as, but not limited to, the relevant market and the skill, experience, class or graduation year, and education of the selected candidate
