Key Responsibilities
- Work with attorneys to prepare and file all documents required to form corporations, partnerships and limited liability companies.
- Aid attorneys in the preparation of documentation related to amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies.
- Aid with the preparation and issuance of stock certificates.
- Create, organize and maintain corporate minute books and entity records.
- Support attorneys in the preparation for and closing of corporate transactions, including mergers and acquisitions and initial public offerings.
- Aid attorneys in the preparation for hearings or trials. Draft and proofread legal documents prepared by attorneys. Research and confirm name availability in relevant jurisdictions.
- Aid attorneys with the preparation of board meetings and committee meetings.
- Act as witness or notary in the execution of contracts or other agreements.
- Accurately record time worked and enter time and description into time and billing system.
Job Requirements
- Associates degree or Bachelor’s degree with a major in paralegal studies, or a Bachelor’s degree with an unrelated major, and have:
- A certificate from an ABA approved paralegal training program specializing in the area for which the candidate is being considered;
- Two years’ experience in the area of specialization for which the candidate is being considered or other comparable experience;
- Unique qualifications, experience, or training which fill a specific need within FBT Gibbons.
- Minimum of three years of corporate paralegal experience required.
- Demonstrated experience preparing and handling a range of corporate documents.
- Strong research skills.
- Extremely accurate and detailed in their paperwork.
- Strong verbal and written communication skills.
- Ability to work toward established goals and consistently meet deadlines.
- Demonstrated critical thinking and sound judgment skills.
- Ability to work effectively under pressure and within time constraints.
- Ability to work independently as well as collaboratively in a team environment.
- Strong organizational and attention to detail skills.
- Proficient computer skills using MS Office applications.
- Flexibility to work overtime as needed.
