Key Responsibilities

  • Work with attorneys to prepare and file all documents required to form corporations, partnerships and limited liability companies.
  • Aid attorneys in the preparation of documentation related to amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies.
  • Aid with the preparation and issuance of stock certificates.
  • Create, organize and maintain corporate minute books and entity records.
  • Support attorneys in the preparation for and closing of corporate transactions, including mergers and acquisitions and initial public offerings.
  • Aid attorneys in the preparation for hearings or trials. Draft and proofread legal documents prepared by attorneys. Research and confirm name availability in relevant jurisdictions.
  • Aid attorneys with the preparation of board meetings and committee meetings.
  • Act as witness or notary in the execution of contracts or other agreements.
  • Accurately record time worked and enter time and description into time and billing system.

Job Requirements

  • Associates degree or Bachelor’s degree with a major in paralegal studies, or a Bachelor’s degree with an unrelated major, and have:
    • A certificate from an ABA approved paralegal training program specializing in the area for which the candidate is being considered;
    • Two years’ experience in the area of specialization for which the candidate is being considered or other comparable experience;
    • Unique qualifications, experience, or training which fill a specific need within FBT Gibbons.
  • Minimum of three years of corporate paralegal experience required.
  • Demonstrated experience preparing and handling a range of corporate documents.
  • Strong research skills.
  • Extremely accurate and detailed in their paperwork.
  • Strong verbal and written communication skills.
  • Ability to work toward established goals and consistently meet deadlines.
  • Demonstrated critical thinking and sound judgment skills.
  • Ability to work effectively under pressure and within time constraints.
  • Ability to work independently as well as collaboratively in a team environment.
  • Strong organizational and attention to detail skills.
  • Proficient computer skills using MS Office applications.
  • Flexibility to work overtime as needed.
