About the role
The Corporate Paralegal will support the firm's clients in various corporate matters, including mergers and acquisitions, equity financings, and general corporate transactions.
Responsibilities
- Understand, interpret, and explain legal principles relevant to corporate law.
- Prepare and maintain closing checklists for mergers and acquisitions.
- Draft board and stockholder consents and coordinate signings and closings.
- Manage data rooms and coordinate due diligence for mergers and acquisitions.
- Prepare and coordinate securities filings such as Form ID, Form D, and state blue sky filings for equity financings.
- Handle entity formation and drafting of documents for amendments, withdrawals, mergers, and dissolutions of corporations, partnerships, and LLCs.
- Use DocuSign and Carta for cap table management.
- Complete extensive legal research and prepare comprehensive legal documents.
- Take and document board meeting minutes.
- Work closely with the legal team to ensure compliance with domestic and international regulatory requirements.
Requirements
- BS/BA degree and a Paralegal Certification.
- Minimum of five years of experience in a corporate in-house legal department, preferably for a sophisticated publicly traded company.
- Experience in mergers and acquisitions, equity financings, and general corporate transactions.
- Strong interpersonal skills and ability to work both collaboratively and independently.
- Proficiency in Diligent or electronic board book tools, Microsoft Office, and strong computer skills.
