Corporate Paralegal (Asset Management - Funds)

About the role
Demonstrate knowledge of the expectations, requirements, and regulations pertinent to the Asset Management practice group. Support attorneys or paralegals on a variety of matters and work independently or on a team to accomplish tasks within the practice.
Responsibilities
- Independently manage closing logistics for transactions; demonstrate understanding of common transaction types; draft supporting certificates and schedules; coordinate large document productions; develop systems for tracking document delivery; prepare state, UCC, and federal regulatory filings; resolve common transaction problems with minimal assistance.
- Demonstrate familiarity with unique or uncommon events in the life cycles of public and private companies, including state and federal reporting requirements for regulatory matters and company documents.
- Complete and review investor subscription documents, ensuring accuracy and consistency; track investor subscription documents using spreadsheets and databases.
- Track and maintain corporate minute books and stock record books; manage databases to track location and status of client records and institutional information.
- Assist in drafting entity governing documents, resolutions, consents, minutes, equity ownership documents, and transfer agreements.
- Review KYC documentation, including entity governing documents, tax documents, and personal identity verification documents; develop knowledge of entity legal structures.
- Draft closing documents such as closing certificates, partnership and operating agreements, and side letters; coordinate legal closings of private investment funds to meet client deadlines.
- Identify opportunities to improve workflows through technology and AI-enabled tools; collaborate with attorneys, paralegals, practice technology, and other firm resources to support adoption of effective and responsible technology-enabled processes.
- Participate in required training and maintain proficiency with firm-approved AI and legal technology tools, understanding their capabilities and limitations.
- Adhere to all firm policies regarding the responsible use of artificial intelligence and other technologies, including client confidentiality, data security, privilege, accuracy, and appropriate human oversight.
- Perform other work-related duties as assigned by corporate paralegals and management.

Requirements
- Bachelor’s degree.
- Three years of experience as a corporate paralegal or comparable work experience preferred.
- Strong interpersonal and communication skills, with significant contact with lawyers and paralegals.
- Demonstrated self-starter who is highly organized and a team player.
- Comfort learning and working with new technologies, including firm-approved AI and legal technology tools.
- Ability to critically assess technology-assisted work product, verify outputs, protect confidential information, and exercise sound judgment regarding appropriate use.
Pay
The anticipated pay range for this role is listed below and represents the firm’s good faith and reasonable estimate of the starting salary range at the time of posting. The actual offered rate will be determined based on qualifications, experience, geographic location, education, external market data, and internal equity. In addition, this role is eligible for a discretionary bonus based on performance.
- San Francisco: $87,500 - $133,450
- Los Angeles: $77,000 - $117,450
Schedule
This position requires hybrid on-site presence as an essential function. Consistent and predictable on-site presence is required for business continuity, professional development, and collaboration. Standard work hours with expected overtime; incumbent is expected to work hours necessary to fulfill responsibilities.
