Corporate Legal Assistant
About the role
A well-established national law firm is seeking a Corporate Legal Assistant to provide administrative support to attorneys and paralegals within its Corporate practice group. This is an excellent opportunity for a legal assistant with corporate law experience to support sophisticated transactions, including mergers and acquisitions, public offerings, venture capital financings, and other business transactions, while working in a collaborative and professional environment.
Essential Duties and Responsibilities
- Assist with the preparation of documentation for amendments, withdrawals, mergers, and dissolutions of corporations and partnerships.
- Support deal closings by preparing closing binders, document sets, and related closing materials.
- Affiliate with SEC filings, securities offerings, UCC filings, and search requests.
- Open new client matters, coordinate conflict checks, prepare engagement letters, and update client and billing information.
- Maintain electronic and physical client files and document management systems.
- Proofread legal documents, correspondence, and reports for accuracy, grammar, formatting, and content.
- Draft routine correspondence, memoranda, and reports.
- Manage incoming mail, correspondence, and document distribution.
- Schedule meetings, conference calls, attorney travel, and calendar appointments.
- Communicate professionally with attorneys, clients, vendors, and internal departments.
- Cook with the Finance Department regarding billing matters.
- Provide overflow support to other legal assistants as needed.
Qualifications
- A high school diploma or equivalent required; additional college or vocational education preferred.
- Minimum of 2 years of experience as a Corporate Legal Assistant in a law firm.
- Experience supporting corporate transactions and business law matters.
- Familiarity with federal, state, and county corporate filing procedures.
- Knowledge of corporate legal terminology, business entity filings, and corporate governance documents.
- Experience with amendments, withdrawals, mergers, and dissolutions of corporations or partnerships.
- Strong proofreading, writing, grammar, and communication skills.
- Excellent organizational, time management, and multitasking abilities.
- A high level of professionalism, attention to detail, and ability to maintain confidentiality.
