What You Will Enjoy Doing

  • Aid with various corporate governance matters, including policy preparation and corporate governance website management.
  • Collaborate on a broad spectrum of Board of Directors-related tasks, such as meeting preparation, agenda and materials drafting, and meeting materials for electronic distribution.
  • Support the Insider Trading Program by ensuring compliance and providing stock trading clearances.
  • Draft SEC filings, including Form 8-K and prepare certain sections of Form 10-K and 10-Q.
  • Prepare key sections of the annual general meeting of shareholders ("AGM") proxy statement and draft director and officer questionnaires and AGM documents.
  • Assist with general corporate matters such as subsidiary maintenance, drafting secretary certificates, and other certificates as needed.

What Makes You Great

  • Minimum of 7-10 years of corporate governance paralegal experience, preferably with a combination of law firm and in-house experience; significant public company experience is essential.
  • Associate’s degree preferred.
  • Paralegal Certification preferred.
  • Strong communication and interpersonal skills, with a collaborative approach and a demonstrated ability to work effectively in a team-oriented environment.
