Corporate Governance Paralegal

Key Responsibilities

  • Manage and maintain global corporate records, minute books, and entity management systems.
  • Cook up and oversee domestic and international statutory filings, annual reports, and director/officer updates.
  • Partner with outside counsel and internal stakeholders to ensure timely and accurate compliance with corporate requirements.
  • Track and maintain corporate calendars to ensure filing deadlines are met.
  • Lead and manage cross-functional legal and compliance projects, including corporate clean-up initiatives, governance modernization, and regulatory reporting workflows.
  • Manage project timelines, trackers, and reporting dashboards.
  • Drive process improvements to enhance efficiency, documentation, and risk mitigation.
  • Support internal audits and compliance reviews.

Basic Qualifications

  • At least 3 years of experience as a corporate paralegal at an agency, in-house, or at a law firm.
  • Bachelor's degree or equivalent work experience.

Preferred Qualifications

  • Demonstrated expertise in global corporate records management and statutory filings.
  • Experience with regulatory filings at the Federal and/or State level or willing to be trained on them to handle.
  • Notary Public (or willingness to become a Notary upon hire).
  • Advanced proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
  • Experience using AI productivity tools such as ChatGPT and Microsoft Copilot to enhance workflow efficiency.

Pay

$60,000 - $95,000 a year
