Corporate Counsel, M&A

About the role

We are seeking an experienced Corporate Counsel, M&A to join our corporate legal team. Key responsibilities include leading legal workstreams on M&A transactions, drafting and negotiating transaction documents, managing due diligence, providing practical counsel, representing Legal on post-closing integration, and developing standardized processes.

Responsibilities

• Lead legal workstreams on M&A transactions — acquisitions, acquihires, minority investments, joint ventures, and other strategic transactions — from due diligence through closing and post-closing integration
• Draft, review, and negotiate transaction documents including letters of intent, purchase agreements, ancillary agreements, and related closing documentation
• Manage and coordinate due diligence, including oversight of cross-functional workstreams and third-party advisors
• Prepare materials for executive leadership (and, as needed, the Board) on transaction matters
• Manage outside counsel relationships on transactions, including staffing, budgets, and work-product quality
• Represent Legal on post-closing integration, working cross-functionally to ensure smooth transitions
• Develop and maintain standardized processes, playbooks, and template documents that drive efficiency and best practices across M&A transactions
• Support other corporate matters as needed

Requirements

• A JD from an accredited law school and active membership in at least one U.S. state bar
• Experience drafting and negotiating M&A transaction documents, including letters of intent, purchase agreements, and ancillary closing documentation
• A deep understanding of transaction structures, including stock purchases, asset purchases, mergers, acquihires, minority investments, and joint ventures
• Experience with both domestic and cross-border transactions
• Experience advising technology companies and startups on the unique legal issues they present

Qualifications

• At least 5-8 years of M&A legal experience at a nationally recognized law firm and/or in-house at a high-growth technology company
• Experience with public company securities law compliance and SEC reporting
• Experience with equity compensation matters in the deal context
• Experience with AI, machine learning, or other emerging technology companies
• Experience building M&A playbooks, templates, or processes on a lean team
• Exceptional analytical, drafting, negotiation, and communication skills, with the ability to translate complex legal issues into clear, practical advice
• The ability to thrive in a fast-paced, dynamic environment and manage multiple transactions and priorities simultaneously
• An independent self-starter who can drive projects forward with minimal supervision, and collaborate effectively with internal and external stakeholders at all levels
