Responsibilities
- Advise on corporate law matters, including interpretation of formation documents and other organizational records.
- Support corporate governance activities, including board and committee preparation, drafting resolutions, and maintaining governance documentation.
- Provide day-to-day guidance on corporate governance policies, procedures, and compliance matters.
- Manage equity-related legal matters, including support for equity plan administration and related documentation.
- Oversee worldwide subsidiary management, including entity maintenance and coordination of related corporate services matters.
- Partner with the Finance team to support legal aspects of corporate and transactional activities.
- Avoid general corporate legal matters across the organization.
- Draft, review, and maintain corporate records, resolutions, consents, and other governance materials.
- Help ensure compliance with applicable corporate laws, regulations, and internal governance requirements.
- Cook with internal stakeholders and external service providers on corporate maintenance and legal entity matters.
Qualifications
- Strong background in corporate law, including corporate governance, entity management, and related legal documentation.
- Prior in-house legal experience, or law firm experience with substantial in-house style corporate support.
- Highly organized and the ability to keep multiple workstreams on track.
- Active bar membership in any U.S. jurisdiction is acceptable.
- Experience with employment law is a plus.
