Role Summary
A Corporate Counsel supports the organization across a broad range of legal, regulatory, and risk matters in a fast-paced professional services environment. This role assists the General Counsel in providing practical, business-oriented legal guidance across a wide range of legal, regulatory, and risk matters, with a particular emphasis on contracting and corporate governance.
Responsibilities
- Aid the General Counsel in advising business leaders on corporate, operational, and regulatory matters.
- Draft, review, and negotiate a wide range of contracts and agreements, including client engagements, vendor agreements, and strategic arrangements.
- Support corporate governance activities, including entity management, board-related matters, and internal governance practices.
- Provide legal support across a broad spectrum of issues, including:
- U.S. and international employment and operational matters (local laws, taxes, permits)
- Restructuring-related legal matters, including Chapter 11 engagements and related regulatory matters.
- Fiduciary, expert, and advisory engagement contracting and negotiation.
- NDA drafting and negotiation.
- Perform legal research and prepare clear, concise written analyses and recommendations for executive audiences.
- Collaborate cross-functionally with P&O, Finance, Operations, Matters, Compliance, and other stakeholders.
- Aid with legal aspects of mergers, acquisitions, and post-acquisition integration activities.
- Support legal aspects of investigations, ediscovery, and Microsoft Purview administration of same.
Qualifications / Ideal Candidate
- Juris Doctor (JD) from an accredited law school required.
- Active membership in good standing with at least one U.S. State Bar required.
- 4–6 years of relevant legal experience in a law firm and/or in-house legal role.
- Demonstrated experience with contract drafting, review, and negotiation.
- Demonstrated experience supporting corporate governance activities, including entity management and internal governance matters.
- Experience advising on a wide range of legal issues.
- Exposure to restructuring, insolvency, fiduciary, or court-mandated matters (e.g., Chapter 11 or receivership proceedings) is preferred.
- Experience at an AmLaw 100/200 law firm or in-house at a reputable professional services, advisory, or consulting firm is strongly preferred.
- Strong proficiency with Microsoft 365 (Word, Excel, Outlook, Teams, SharePoint) required; demonstrated experience with AI tools (Microsoft Copilot, ChatGPT, Claude, Gemini) and legal technology platforms (CLM, e-billing, matter management) is strongly preferred.
