Responsibilities
- Review, draft, and negotiate vendor contracts, leases, broker agreements, correspondent agreements, mortgage loan purchase agreements, interim servicing agreements, services agreements, warehouse line agreements, custodial agreements, guarantees, asset purchase agreements, employment agreements, term sheets, letters of intent, non-disclosure agreements, and a range of other commercial and transaction documents.
- Create and maintain standardized form documents.
- Aid in preparing mortgage origination template documents and disclosures.
- Aid business clients with mortgage repurchase response and mortgage broker collection strategies.
- Aid business partners in navigating and resolving vendor disputes.
- Review and analyze entity formation and other organizational documents, such as operating agreements and resolutions, and advise internal clients about the implications of the same to proposed transactions or programs.
- Revise company policies and procedures.
- Prepare internal and external communications as needed to support principal job functions.
- Work across business units and with all levels of management to identify and mitigate risk.
- Aid with escalated projects and initiatives.
- Perform other duties and projects as assigned.
Qualifications
- Education: Juris Doctor degree with state bar admission and active bar license.
- Experience: 3-5 years’ relevant legal experience in fast-paced, problem-solving focused law firm and/or in-house counsel environment.
- Experience: Providing advice and counsel directly to clients in person, by telephone, on Teams/Zoom, or via email.
- Experience: Negotiating range of contracts and transactional documents and working directly with business stakeholders.
- Skills & Knowledge: Knowledge of standard contract terms and ability to propose specific language to address a range of contract drafting problems; Exceptional oral, written, and interpersonal communication skills, with the ability to apply common sense to carry out instructions, interpret documents, understand procedures, write reports and correspondence, and speak clearly to clients and counterparties; Strong attention to detail and proven analytical abilities; Exceptional resourcefulness and ability to partner with business clients on creative solutions; Ability to take a step back and see client’s “big picture”, understand client’s business goals, and evaluate the interplay between legal and business risk; Excellent issue spotting, risk assessment, and problem-solving skills; Ability to act autonomously and with minimal direction and to function well in a situation with ambiguous or generally defined goals, issues, and methods; Willingness to learn new areas of law outside of core competence; Ability to cooperate with others and be responsive to the Company’s needs; Ability to deal with complex, difficult problems involving multiple facets and variables in non-standardized situations; Familiarity with California and ABA AI guidance for lawyers; Familiarity with standard business software programs and ability to incorporate new software tools into practice; Basic math skills, including ability to evaluate financial implications of contract strategy and locate routine mathematical errors; Compute rate, ratio, and percent; balance accounts; draft and interpret standard line, bar, and other graphs; calculate interest and percentages; and add, subtract, multiple, and divide in all units of measure, using whole numbers, common fractions, and decimals.
