Key Responsibilities

  • Draft, review, and negotiate a high volume of commercial agreements, including vendor services, employment contracts, non-disclosure agreements (NDAs), and licensing.
  • Monitor and ensure compliance with federal, state, and industry-specific regulations (e.g., data privacy or labor laws).
  • Assist with mergers and acquisitions (M&A) and financing rounds, including conducting due diligence and preparing closing documents.
  • Identify potential legal liabilities in new projects or business deals and develop proactive strategies to protect the company’s interests.
  • Oversee internal policies and ensure they adhere to legal guidelines.
  • Provide training and clear legal guidance to executive leadership and staff on legal issues affecting their respective departments.
  • Develop and implement legal strategies to protect the company's interests.
  • Stay up to date on changes in laws and regulations that may impact the company.

Required Qualifications

  • Education: Juris Doctor (JD) degree from an ABA-accredited law school.
  • Licensing: Active member in good standing with the State Bar in the relevant jurisdiction.
  • Experience: Minimum of 4–5 years of experience in corporate law, preferably with a mix of law firm and in-house experience.
  • Knowledge: Strong understanding of business law, contract principles, and corporate structure.

  • Attention to Detail: Meticulous approach to reviewing contracts and maintaining corporate records.
  • Project Management: Ability to handle multiple priorities and meet deadlines in a fast-paced environment.
