Corporate/Commercial Transactional Attorney

Key Responsibilities

• Draft, review, and negotiate a variety of corporate and commercial agreements, including asset and stock purchase agreements, operating and shareholder agreements, service agreements, licensing agreements, and other general commercial contracts
• Advises clients on entity formation, governance, restructuring, and day-to-day corporate matters
• Supports mergers, acquisitions, and other strategic transactions, including due diligence and closing activities
• Collaborates with partners and cross-functional teams to deliver practical, business-oriented legal solutions
• Maintains strong client relationships and provides timely, responsive counsel

Qualifications

• JD from an accredited law school
• Active license and in good standing in the applicable jurisdiction
• Minimum of 3 years of experience in corporate and/or commercial transactional matters
• Strong drafting, negotiation, and analytical skills
• Ability to manage multiple matters efficiently in a fast-paced environment
• Excellent written and verbal communication skills
