Corporate / Business Attorney
About the Role
We've partnered with an entrepreneurial law firm in the Nashville area that is rethinking what a modern business-law practice can look like. They work closely with business owners, entrepreneurs, and growing companies, providing sophisticated legal guidance while taking a broader view of the client's business, objectives, and long-term success. This is an opportunity for an attorney who wants to be a trusted business adviser, not simply the person brought in to review a document or answer a narrow legal question.
The ideal attorney will appreciate the opportunity to help shape how legal services are delivered, rather than simply stepping into an established model and following the same playbook.
Responsibilities
You will advise business owners and companies across a range of corporate and commercial matters, including:
- Corporate and business transactions
- Entity formation, structuring, and governance
- Commercial agreements and contract negotiations
- Mergers, acquisitions, and other strategic transactions
- General corporate and outside-GC matters
- Business-owner and executive advisory
- Risk assessment and practical legal strategy
- Drafting, reviewing, and negotiating sophisticated legal documents
- Working directly with clients to understand their commercial objectives
- Helping clients make informed decisions rather than simply identifying legal issues
The role will provide meaningful client exposure and the opportunity to become a trusted adviser to the businesses you support.
Requirements
- J.D. from an accredited U.S. law school
- Active license to practice law in Tennessee, or ability to become licensed in Tennessee
- 3+ years of sophisticated business, corporate, or transactional legal experience
- Strong drafting, negotiation, and analytical skills
- Experience advising businesses or business owners directly
- Ability to manage sophisticated matters with sound judgment and attention to detail
- Strong written and verbal communication skills
Experience at a respected mid-size or large law firm is preferred, particularly where you have worked on complex transactions and developed strong client-facing skills.
Preferred Experience
We would be especially interested in attorneys who have experience with:
- M&A
- Commercial transactions
- Corporate governance
- Business formation and restructuring
- Venture or private equity transactions
- Strategic investments or joint ventures
- General counsel / outside general counsel work
- Founder-led or closely held businesses
- High-growth companies
- Entrepreneurial or business ownership experience
Experience serving as in-house counsel or General Counsel is a strong plus. Experience operating, advising, or helping grow a business is also highly valued.
What Makes a Strong Candidate
The strongest candidate will likely be someone who:
- Thinks like a business owner, not only like a lawyer
- Enjoys understanding the commercial context behind a legal matter
- Builds trust naturally with clients
- Takes ownership rather than waiting to be told what to do
- Is comfortable questioning inefficient or outdated ways of working
- Values collaboration and shared success
- Is curious about technology and how it can improve legal work
- Wants to build a career intentionally
- Takes pride in creating measurable value for clients
- Is motivated by the opportunity to help shape something rather than simply maintain it
Benefits
This is an opportunity to join a firm where your contribution can extend well beyond your individual caseload. You will have the opportunity to:
- Work directly with business owners and sophisticated clients
- Develop meaningful long-term client relationships
- Take ownership of substantive matters
- Work in a collaborative and entrepreneurial environment
- Help shape processes, technology, and the way legal services are delivered
- Develop both your legal and commercial judgment
- Build a career around the type of lawyer you want to become
The firm is looking for someone who wants to build, not simply fit into an existing mold.
