Corporate Attorney (Hybrid In-House Contract)
About the role
Latitude is seeking a junior corporate attorney to handle general corporate governance and securities matters, assist with Board of Directors and committee meeting materials and minutes, draft and review resolutions and other corporate documents, ensure conformity with legal and governance standards, and handle subsidiary management and SEC compliance, among other general corporate matters.
Responsibilities
- Manage entities and provide general corporate and securities support for a public company
- Handle SEC filings including Section 16 and proxy/periodic reports and board governance support
- Ensure compliance with legal and governance standards
- Draft and review resolutions and other corporate documents
- Assist with Board of Directors and committee meeting materials and minutes
- Handle subsidiary management and SEC compliance
Requirements
- 3 - 5 years of experience as a corporate attorney, including governance matters such as managing entities and providing general corporate and securities support for a public company
- Experience handling SEC filings including Section 16 and proxy/periodic reports and board governance support
- Strong attention to detail and the ability to operate effectively in a fast-paced corporate environment
- Excellent time management and organizational skills with the ability to work independently, prioritize, and multi-task
- Excellent academic credentials from an ABA-accredited law school
- Excellent analytical, written, verbal, and interpersonal skills
- Licensed to practice law in at least one U.S. jurisdiction (or eligible for in-house exemption in MN)
- Outstanding professional references

Pay
The annualized pay for this position ranges from $150,000 to $185,000 when calculated on a full-time basis. Pay for contract engagements is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate which can affect the candidate’s competitiveness for the position).
