Key Responsibilities
- Aid in structuring, negotiating, and closing M&A transactions
- Draft and review transaction documents, including purchase agreements, disclosure schedules, and ancillary agreements
- Draft, review, and negotiate a variety of contract types, such as license agreements, leases, real estate purchase and sale agreements, non-disclosure agreements, and product and service sales and use agreements
- Conduct and manage due diligence processes
- Advise clients on corporate governance, entity formation, and general business matters
- Support cross-border transactions and regulatory compliance (e.g., securities, tax, employment considerations)
- Collaborate with attorneys across practice areas to deliver comprehensive client solutions
Qualifications
- J.D. from an accredited law school and strong academic credentials
- 2 or more years of experience in corporate law and M&A transactions
- Experience drafting and negotiating transaction documents
- Strong analytical, writing, and communication skills
- Ability to manage multiple priorities and work both independently and as part of a team
